The Masad Oz Group and America Israel have signed a full merger agreement, uniting residential and commercial real estate development with engineering project management in the infrastructure sector.

Strategic Synergy and Market Expansion

Following regulatory approval, the unified group will fully own Masad Oz Management and Engineering, Masad Oz Entrepreneurship and Investments, and America Israel. Current shareholders of America Israel—Pinhas Cohen, Shimshon Harel, Migdal Insurance and Financial Holdings, and Mercantile Discount Bank—will become shareholders in the combined group.

Masad Oz has operated since 1996, managing mega-projects and national infrastructure with a cumulative volume of approximately 50 billion shekels. Key projects include the development of the Sde Dov quarter, Ben Gurion Airport Terminal 3 expansions, and the reconstruction of Kibbutz Nir Oz.

Path to Public Offering

A primary strategic objective of the merger is preparing the company for a public offering (IPO) of debt and equity, to be executed in accordance with business developments and capital market conditions.
