Kalil Industries to Acquire Full Ownership of Petah Window and Door
Kalil Industries has agreed to acquire the remaining 49% stake in Petah Window and Door for NIS 15 million, taking full ownership of the luxury aluminum firm by December 2026.

Kalil Industries is expanding its presence in the high-end aluminum market by signing an agreement to acquire the remaining 49% stake in Petah Window and Door for approximately NIS 15 million. Upon completion of the transaction on December 10, 2026, Kalil will hold 100% of the subsidiary, up from its current 51% stake.
The deal stems from the exercise of a put option granted to Gadi Makhlouf, who holds the remaining shares. The consideration was determined based on a mechanism outlined in the original agreement, relying on a multiple of the company's adjusted EBITDA. Kalil plans to finance the acquisition through internal cash flows and available bank credit lines.
Petah Window and Door specializes in windows, doors, and shading solutions for Israel's super-premium market. Its expertise includes minimal framing systems that enable large glass spans using narrow aluminum profiles, alongside luxury window and door solutions.
Kalil acquired a controlling stake in the company in August 2021 as part of a joint venture. The original agreement included options for purchasing and selling the remaining shares. Alongside the buyout, a management transition is underway. Makhlouf will step down as a director upon completion and conclude his tenure as CEO at the end of December 2026, to be succeeded by Gil Sharabi.
Kalil Chairman Zuri Dabush stated that the minimal systems segment represents one of the most innovative areas in the aluminum industry, offering significant growth potential. He added that full ownership will allow Kalil to deepen its super-premium operations and broaden its product portfolio, aligning with global trends favoring both entry-level and luxury ends of the market.
