Yigal Dimri to earn up to 7.9 million shekels annually as he increases stake
A day after the approval of a new compensation policy for the controlling shareholder, Yigal Dimri purchased Y.H. Dimri shares worth approximately 620,000 shekels, further increasing his holdings.
Yigal Dimri, the controlling shareholder and CEO of the construction and real estate firm Y.H. Dimri, continues to express confidence in the company under his leadership. Yesterday, he purchased 1,700 company shares on the Tel Aviv Stock Exchange at a price of 365.48, with the transaction totaling approximately 620,000 shekels.
Following the acquisition, Dimri’s holdings increased from 12,164,892 to 12,166,592 shares. His voting rights now stand at 52.94% (50.49% on a fully diluted basis).
The purchase comes just one day after the approval of a new compensation policy, following a period of tension where shareholders had previously rejected a proposed salary hike by a narrow margin.
Dimri had initially requested a 21% increase in monthly management fees—from 271,000 to 330,000 shekels—alongside a significant jump in the annual bonus ceiling. Following pushback from institutional investors, the company published a revised notice in which Dimri partially retreated, lowering the 2027–2028 bonus ceiling to 3.8 million shekels (a 16% reduction from his original demand).
The minimum annual profit threshold for triggering the bonus was lowered from 300 million to 250 million shekels. Consequently, including the maximum bonus, Dimri is set to earn up to 7.2 million shekels in 2026 and up to 7.9 million shekels in both 2027 and 2028.
Dimri also addressed his recent purchase of apartments in the Sde Dov complex:
"I believe Sde Dov will become one of the best neighborhoods in the country, so I was happy to acquire apartments for my children and one for myself—not for living, but for vacation. These are 70 to 80-square-meter apartments overlooking the sea, one for each of my children."
