Airnergy Tech Secures 42.7 Million NIS in Private Placement to Fund Energy Projects

Airnergy Tech has signed a private placement agreement to raise 42.7 million NIS. The funds will accelerate compressed air energy storage projects in Europe and battery storage systems in Israel.

The Israeli energy company Airnergy Tech, which specializes in the development and commercialization of compressed air energy storage stations, announced on Monday that it has entered into a private placement agreement to raise approximately 42.7 million NIS from a group of investors.

Under the agreement, the investors will purchase 7,081,258 ordinary shares of the company at a price of 6.03 NIS per share and will receive 7,495,852 non-tradable options, exercisable into ordinary shares of the company at an exercise price of 8 NIS per share.

The transaction is subject to customary closing conditions, including the approval of the Board of Directors, the general meeting of shareholders, and the Tel Aviv Stock Exchange's approval to list the shares and options for trading. This marks the company's second capital raise in less than a year, following a private placement of approximately 50 million NIS approved by the shareholders in December 2025.

Strategic Growth and European Expansion

Airnergy Tech's management stated that the proceeds will be used to fund the continued execution of its strategic plan: advancing compressed air energy storage projects in Europe, expanding development activities in battery energy storage systems (BESS), and continuing the rapid growth of its engineering, procurement, and construction (EPC) operations in Israel.

Yiftah Ron-Tal, Chairman of the Board of Airnergy Tech and a retired IDF Major General, stated:

"The participation of existing stakeholders and additional investors, alongside senior management in this capital allocation, strengthens our financial resilience and allows us to lead the energy storage sector from a position of strength. We will continue to execute our strategic plan while creating value for our shareholders."

Tal Raz, CEO of Airnergy Tech, added:

"The current capital raise is a clear vote of confidence by investors and stakeholders in Airnergy's strategy and the performance we have demonstrated in recent months. The capital raised will allow us to accelerate the realization of growth opportunities in Europe and Israel, ranging from compressed air-based CAPP projects to BESS project development and the expansion of EPC activities."

Financial Milestones and Key Partnerships

This move comes after the completion of several business milestones achieved by the company in recent months. According to the financial report published by the company for the first half of 2026, its total balance sheet grew to approximately 127 million NIS, compared to about 56 million NIS at the end of 2025.

In May, the company reported the acquisition of a 51% controlling stake in Green-Go, an EPC company. Concurrently, an agreement was reached with Nofar Energy in Israel for solar roofing projects on sports fields and parking lots, with a cumulative solar capacity of approximately 22 MWp and a cumulative storage capacity of approximately 226 MWh.

Airnergy Tech could be entitled to a maximum total consideration of up to approximately 200 million NIS for the construction works, subject to the signing of specific execution agreements for each project. Additionally, subject to Nofar Israel's discretion, the parties will examine the possibility of joint development cooperation, under which the company may participate as an equity partner in projects with a share of up to 30%.
