Towards signing an agreement: Anthropic and Decart exchange deal drafts

The deal for Anthropic to acquire the Israeli company Decart is nearing completion. The company is valued at approximately $7 billion, with the majority of the consideration to be paid in Anthropic shares.

The deal in which Anthropic will acquire the Israeli company Decart is close to being signed and is in an advanced stage of exchanging drafts. The AI giant, founded by former OpenAI employees, is considered the preferred candidate by Decart's founders, Dr. Dean Leitersdorf and Moshe Shalev, for the company's acquisition.

Both founders and the Sequoia fund, the company's largest investor, prefer Anthropic, believing it is the best fit to take Decart to its next stages. The company's valuation in the deal is expected to be about $7 billion, and Calcalist has learned that most of the consideration in the deal will be in Anthropic shares that Decart's shareholders will receive. The publication of Anthropic's prospectus ahead of the company's planned IPO on NASDAQ is delayed, and it is possible that the acquisition of Decart contributed to this delay.

Decart, founded in 2023, employs about 100 people and has raised $450 million to date. Calcalist also learned that advanced negotiations that Decart conducted with Nvidia were halted with the appearance of Anthropic's offer, for which the deal will mark an entry ticket to the Israeli market. Nvidia, as far as is known, offered to acquire Decart at a higher valuation than Anthropic offered, partly because it is already an investor in the company. But the fact that it is a company that currently has no presence in Israel also appealed to Decart's shareholders.
