Valley National Bancorp and Bluevine Inc. have announced a definitive agreement under which Valley will acquire Bluevine, a leading global digital banking platform for small businesses. Valley will acquire Bluevine for a total consideration of approximately $340 million, subject to customary closing conditions. The transaction consideration is expected to consist of approximately 75% cash and 25% Valley common stock.

Strategic Rationale and Financial Impact

Including anticipated synergies, the acquisition is projected to accrete earnings per share by approximately 8% for 2028. The deal is expected to result in an estimated 5% dilution to tangible book value at closing, with an estimated earn-back period of approximately three years. The acquisition aligns directly with Valley's strategic priorities: strengthening its funding source base, expanding its small business operations, and accelerating its digital and artificial intelligence (AI) strategy.

Bluevine will bring to Valley a large-scale, high-growth digital platform in the small business sector, featuring $2.1 billion in low-cost deposits from digital channels. Additionally, Bluevine brings a robust suite of integrated solutions spanning banking, payments, credit, and financial management designed for small businesses across the United States. Valley plans to continue growing these deposits and capabilities over time.

Leadership and Technology Integration

Founded in 2013 and headquartered in Jersey City, New Jersey, Bluevine serves approximately 175,000 active small business customers. The Israeli fintech company was co-founded and is led by Eyal Lifshitz. Upon closing, Lifshitz will join Valley as Head of Small Business Banking.

The transaction will integrate Bluevine's engineering, product, data science, and AI teams, comprising roughly 180 research and development personnel located in tech hubs across Redwood City, Jersey City, Salt Lake City, and Tel Aviv, Israel. These teams will help accelerate Valley's long-term technology strategy, enhancing internal capabilities and reducing reliance on third-party software.
